What we need to start the five-day clock
Thank you for engaging Workup. The report is only as good as the documents behind it, and the five-business-day clock starts when the items marked required are in the folder and pass our completeness check. Upload everything to the secure folder link in your engagement email; PDF or the native file (Excel, CSV, QuickBooks export) is fine. If something on this list does not exist for the business, tell us; "not available" is an answer, and the report will say so.
Required to start the clock
- 1.
Federal tax returns, three fiscal years. Complete returns as filed (Form 1120, 1120-S, 1065, or Schedule C), all schedules and statements. If the most recent year is on extension, the prior three plus the extension filing.
- 2.
Year-end financial statements, three fiscal years. Income statement and balance sheet for each year, accountant-prepared where they exist, otherwise the internal year-end close from the accounting system.
- 3.
Monthly income statements, trailing 24 months. Exported from the accounting system by month, not summarized. One file with 24 columns is ideal.
- 4.
Bank statements, trailing 24 months, every operating account. Complete statements, every page, for each business account (operating, payroll, savings, merchant deposit). Transaction-level CSV exports from the bank in addition to the PDFs save a day.
- 5.
Seller's add-back schedule. The adjustments the seller or broker used to arrive at the adjusted EBITDA or SDE in the offering memorandum, with the dollar amount and a one-line description for each.
- 6.
Customer revenue by customer, most recent fiscal year. A list of customers with revenue for the year (and the prior year if available). Names can be coded if confidentiality requires; we need the concentration, not the names.
- 7.
The offering memorandum or listing, and the proposed deal terms. Purchase price, structure (asset or stock), seller financing terms, and the proposed SBA loan amount, rate, and term if known.
- 8.
Premises lease, including any related-party arrangement, amendments, and the most recent rent or property tax statement. Related-party rent is normalized to market in every report, so the lease is required even where the landlord is the seller.
- 9.
Owner and family compensation detail. Salary, bonus, distributions, benefits, and vehicle or other personal expenses run through the business for each owner and each family member on payroll, for the last three fiscal years. Officer compensation is charged at a replacement rate in every report.
For lender-commissioned reports (tri-party engagements)
When the report is commissioned by an SBA lender under Appendix 15 of SOP 50 10 8.1, the borrower uploads items 1 through 9 for the target business and the lender supplies the following. The clock starts when both are in.

The lender's proposed structure. Loan amount, rate, term, seller note terms, equity injection, and any standby or subordination requirements, as they stand at engagement.
- 11.
The credit contact. The name and email of the person on the lender's credit or underwriting team who receives our question lists and the draft; question lists go to the credit contact and the borrower together unless the lender instructs otherwise.
Requested, not required to start
- 12.
Accounts receivable and accounts payable aging, at the most recent month end and at each of the last three fiscal year ends.
- 13.
Fixed asset register or equipment and vehicle list, with year acquired and cost; and any capital expenditure detail for the last three years.
- 14.
Customer contracts or master service agreements for the top five customers, including assignment and termination provisions.
- 15.
Employee census (headcount by role, W-2 or 1099 status, tenure) and Forms 941 for the most recent four quarters.
What happens next
Within one business day of upload we confirm the folder is complete or list what is missing. The clock starts on confirmation. Standard delivery is five business days from that point; 48 to 72 hours expedited. We may send up to two short question lists during the engagement; a same-day reply keeps the schedule.
